The free validator runs locally in the visitor’s browser and does not transmit files to Dali AI. Monthly subscriptions can be ordered through Stripe Checkout. Checkout handles business and payment details only; it does not receive the selected MI file or validation result.
1 Scope and business customers
These terms apply only to organisations and people acting for business purposes. UK Filing is not offered to consumers. An individual agreement, order confirmation or data processing agreement takes precedence over these terms where it says something different.
2 Provider and contract formation
The provider is Dali AI GmbH, Wassergrabe 4, 6210 Sursee, Switzerland, UID/VAT number CHE-410.112.306. Contact: mi@dali-ai.ch. The customer selects a reporting route, reviews the monthly price and renewal interval in Stripe Checkout, confirms that it acts for a business, accepts these terms and submits payment. The contract is formed when Stripe confirms the successful subscription on Dali AI's behalf. Dali AI will contact the checkout email within one business day for onboarding. If Dali AI cannot support the selected published route, it may cancel promptly and refund the initial charge.
3 The service
UK Filing maps customer-provided invoice or transaction data into the management-information return for the subscribed framework route and checks the generated file against supported structural and formatting rules. The subscription includes one agreement or framework, reusable mappings, the supported output format, a pre-check and the monthly nil-return workflow. Supported agreements, template versions and verification dates are listed on the relevant reporting page. Submission to the framework operator remains the customer's act unless an individual agreement expressly includes submission assistance.
Onboarding confirms the customer's agreement or framework, source-export format, reporting contact and secure transfer method. An additional agreement or framework is added only after Dali AI confirms support and the additional monthly price.
UK Filing is independent of the Government Commercial Agency, Crown Commercial Service and HealthTrust Europe LLP. It cannot guarantee that a framework operator will accept a return or that the customer's underlying figures are complete or correct.
4 Customer responsibilities
The customer must provide lawful, accurate and complete source data, select the correct framework and template version, review the output and submit it on time. The customer must have all rights and permissions needed for the data it provides and must not upload special-category, criminal-offence or unrelated personal data.
5 Prices, payment and taxes
Prices are £39 per month for one supported GCA agreement and £59 per month for one supported HealthTrust Europe framework. Each additional supported agreement or framework on the same reporting route is £19 per month after confirmation by Dali AI. Prices exclude VAT and are billed monthly in advance. The binding price and billing interval appear in Stripe Checkout before payment. UK business customers are responsible for any reverse-charge accounting that applies to them.
6 Term and cancellation
Unless an order says otherwise, subscriptions run month to month with no minimum term. A customer may schedule cancellation through the authenticated Stripe customer portal or write to mi@dali-ai.ch before the next renewal. Cancellation takes effect at the end of the paid period. Amounts already paid for a current period are not refunded, unless mandatory law or an individual agreement requires it.
7 Availability, maintenance and changes
No service-level percentage is promised unless an individual agreement states one. Planned maintenance, security work and events outside reasonable control may interrupt the service. Framework operators can change their templates and rules; Dali AI will use reasonable care to update supported formats, but the customer must check the coverage page before each filing.
8 Customer data and confidentiality
Customer data remains the customer's data. Dali AI may process it only to provide, secure and support the service and does not use it to train AI models. Stripe processes checkout, billing, tax-identification and payment data as described in the Privacy notice; Dali AI does not receive complete card details. Before live customer files are accepted, the parties will agree a secure transfer method and enter into a data processing agreement where required, including approved sub-processors, locations, security measures, incident notice and deletion or export arrangements.
9 Intellectual property
Dali AI retains all rights in the software, validation rules and mappings that are not customer data or official framework materials. The customer receives a non-exclusive, non-transferable right to use the service during the subscription for its own framework reporting. Official templates and guidance remain subject to their respective owners' rights.
10 Suspension and termination
Dali AI may suspend access where reasonably necessary for security, unlawful use, non-payment or a material breach. Where practical, the customer receives notice and an opportunity to remedy the issue. Either party may terminate immediately for an unremedied material breach. Data return and deletion are handled as stated in the order and data processing agreement.
11 Liability
Dali AI does not exclude or limit liability for intent, gross negligence, death or personal injury, or any other liability that cannot lawfully be limited. For ordinary negligence, aggregate liability arising from the service is limited to the fees paid for the affected service during the twelve months before the event giving rise to the claim. To the extent permitted for a B2B contract, Dali AI is not liable for indirect loss, loss of profit or loss caused by inaccurate source data, a missed customer review or a framework operator's independent decision.
12 Changes to these terms
Material changes are announced in text form before they take effect. If a change materially disadvantages an existing customer, that customer may cancel before the effective date. A new version does not silently replace an individually agreed term.
13 Governing law and courts
Swiss substantive law applies, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts at Sursee, Canton of Lucerne, have exclusive jurisdiction, unless mandatory law requires another court.
The checkout subscription does not authorise sending invoice files by ordinary email. Dali AI confirms the secure onboarding route before receiving source data.
